When the Referee Rewrites the Rulebook: Why FIFA's Governance Dilemma Matters to Every General Counsel

Abstract

Every institution eventually encounters a defining moment. It is rarely triggered by a financial crisis, regulatory investigation or reputational scandal. Rather, it arises when adhering to its own rules becomes inconvenient. At that point, governance ceases to be a matter of compliance and becomes a test of institutional character. FIFA's recent willingness to suspend or reinterpret aspects of its own regulations has understandably generated debate within the football community. Yet its significance extends far beyond sport. Whether motivated by commercial pressures, operational realities or exceptional circumstances is almost beside the point. The more enduring governance question is one that every board, regulator and corporate leader should recognise: when commercial imperatives collide with established rules, should the rules bend, or should leadership?
